New Era Smart Home provides professional smart home automation services, including but not limited to:

2. Service Agreement and Quotes

a. Quotes: All service quotes provided by New Era Smart Home are estimates based on the information available at the time of quoting. The final price may vary depending on unforeseen circumstances, additional client requests, or changes to the scope of work. All quotes are valid for a period of [e.g., 30 days] from the date of issue. b. Acceptance: Acceptance of a quote, either verbally or in writing (including email confirmation), constitutes a binding agreement to these Terms and the proposed scope of work. c. Any changes to the scope of work must be agreed upon in writing by both parties and may incur additional charges.

3. Payment Terms

a. Pricing: Prices for services will be as quoted or as otherwise agreed upon in writing. b. Deposits: For certain projects, a deposit (e.g., [e.g., 50%]) of the estimated total cost may be required before services commence. This deposit is non-refundable unless otherwise specified in writing. c. Payment Due Date: Full payment for services rendered is due upon completion of the service, unless otherwise agreed upon in writing. We will assist you in initiating a warranty claim with the manufacturer, but we are not responsible for the terms or fulfillment of manufacturer warranties.

6. Client Responsibilities

a. Access: You agree to provide our technicians with safe and clear access to the work area at the scheduled time. b. Information: You are responsible for providing accurate and complete information necessary for the provision of services, including network credentials, device accounts (where necessary for integration with your consent), and any pre-existing conditions or issues. c. Permits/Approvals: It is your responsibility to obtain any necessary permits, approvals, or landlord consents required for the installation work. d. Existing Infrastructure: While we take care during installation, we are not responsible for damage to existing infrastructure (e.g., walls, wiring, concealed pipes) that is not visible or was not disclosed prior to work commencing.

7. Limitation of Liability

To the fullest extent permitted by law, New Era Smart Home shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our total liability to you for any claim arising out of or relating to these Terms or the services provided shall not exceed the amount you paid us for the specific services giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless New Era Smart Home and its employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of and access to our services, or a breach of these Terms.

9. Intellectual Property

All content on https://newerasmarthome.com/, including text, graphics, logos, images, and software, is the property of New Era Smart Home or its content suppliers and protected by intellectual property laws. You may not use, reproduce, or distribute any content from our website without our express written permission.

10. Governing Law and Dispute Resolution

a. Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. b. Dispute Resolution: Any dispute or claim arising out of or relating to these Terms or the services provided shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute, they agree to first consider mediation. If mediation is unsuccessful, disputes shall be submitted to binding arbitration in Palo Alto, CA, in accordance with the rules of the American Arbitration Association. The arbitration award shall be final and binding, and judgment thereon may be entered in any court having jurisdiction thereof.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Force Majeure: We will not be liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
